Terms of service and subscription

Version 2026-11-03 · effective from 3 November 2026

These terms apply to all agreements for subscriptions, hosting, systems, development and other services from Veyro. Any different terms agreed in writing, for example in a quote, take precedence over these terms.

1. The parties

Veyro, CVR 46857569, Albert Ibsensvej 28, 2. tv, 4200 Slagelse, kontakt@veyro.dk, telephone +45 61 66 39 31 ("Veyro", "we").

The customer is the business ordering the service ("the customer", "you"). The person accepting these terms confirms that they are authorised to bind the business.

2. Business customers only and no right of withdrawal

We sell exclusively to businesses. The Danish Consumer Contracts Act therefore does not apply, and there is no right of withdrawal. By placing an order, the customer confirms that they are acting in the course of their business.

3. Formation of the agreement

The agreement is formed when the customer has accepted a quote or selected a subscription and accepted these terms and the data processing agreement in the customer portal or via the quote link. Acceptance is recorded with the time and the version accepted by the customer.

4. The services

The scope of the service is set out in the selected subscription or the quote. It may include a website, hosting and an SSL certificate, maintenance, an ordering, order management or inventory system, integrations, support and development. Requests beyond the agreed scope are quoted separately.

The scope of operations and our response times are described in our service level agreement (SLA).

5. The customer’s responsibilities

  • The customer is responsible for the content, text, images, prices and data they enter themselves or send to us, and for having the right to use them.
  • The customer keeps their login and access credentials confidential and notifies us if they may have been misused.
  • The customer must not use the solution for unlawful purposes or in a way that harms operations for others.
  • The customer is the controller of personal data about their own customers, employees and partners processed in the solution. Our processing is governed by the data processing agreement.

6. Prices

Prices are set out in the subscription or quote. We always state whether a price includes or excludes VAT. One-off amounts, such as setup or development fees, are payable on sign-up unless otherwise agreed.

7. Payment

  • Subscriptions are paid in advance for each period (month or year) by payment card through our payment provider, Stripe. Payment is collected automatically at the start of each new period until the subscription is cancelled.
  • The customer receives a receipt and invoice by email for each payment and can view invoices and change their payment card in the customer portal.
  • If payment by invoice has been agreed, payment is due within 8 days. For late payments, we may charge interest and fees under the Danish Interest Act.
  • If a payment fails, Stripe attempts to collect it again and we notify the customer. If payment has not been completed 14 days after our reminder, we may suspend access to the solution until payment is made. The customer’s data is not deleted for this reason while the agreement remains in force.

8. Price changes

We may change the price of an ongoing subscription with at least 1 month’s written notice by email. The new price applies from the first payment period beginning after the notice period. The customer may cancel the subscription so that it ends before the new price takes effect. Changes to VAT and other public charges may be applied without notice.

9. Duration and termination

  • Subscriptions are ongoing with no minimum term unless a minimum term is specified in the quote or subscription.
  • The subscription renews automatically for one period at a time (month or year). The customer may cancel at any time in the customer portal at kunde.veyro.dk or by writing to kontakt@veyro.dk. Cancellation takes effect at the end of the period paid for.
  • If a minimum term has been agreed, the subscription cannot end before that term expires.
  • Periods already paid for and one-off payments are not refunded.
  • We may terminate a subscription with 3 months’ notice to the end of a payment period.
  • Either party may terminate the agreement if the other party materially breaches it and has not remedied the breach within 14 days of a written request.

10. When the agreement ends

When the agreement ends, we close access to the solution. Within 30 days of termination, the customer may request their data in a standard format (such as CSV), and the website’s content and domains belonging to the customer are transferred by agreement. We then delete the customer’s data unless the law requires us to retain it. See also the data processing agreement.

11. Rights

The customer owns their own content and data. Veyro retains the rights to our software, templates, code and tools. While the agreement is in force, the customer has the right to use the solution for their own business. If we have developed something specifically for the customer for a fee, any transfer of rights is set out in the quote.

11.1. Website source code after 12 months

This clause creates no minimum commitment. The customer may still cancel under section 9. If the website subscription ends before 12 consecutive calendar months have elapsed from the website first going live with Veyro, Veyro may refuse to provide the website's source code to the customer or another hosting provider. The period runs until the subscription's actual end date, and the free first month counts towards it.

After those 12 months, the customer is entitled to receive the website's customer-specific source code on request, whether they stay with Veyro or cancel. The customer receives a perpetual, non-exclusive right to use and modify the supplied website files for their own business and have another provider host and maintain them. This licence includes the Veyro components contained in the supplied files. Veyro retains its other rights to reusable code, templates and tools.

The handover does not include Veyro's shared hosted platforms, customer portal, internal systems, other customers' code or data, or credentials for Veyro's accounts. Booking, online shop and other features using such shared services require a separate solution or agreement to operate with another provider. Third-party software, images and other licences remain subject to their own terms. Assistance with the migration itself and any adaptation to the new hosting is agreed separately; ongoing hosting and maintenance are not included with the source code.

The restriction before 12 months concerns only the handover of Veyro's source code. The customer retains rights to their own content, data and domains from the outset. This clause does not restrict their release or any mandatory rights to data export and switching providers.

This clause applies to website agreements entered into under version 2026-11-03 of these terms or later. Existing agreements are not changed automatically, but may be brought within this clause by a separate written agreement. An express, separate agreement on source code or rights takes precedence.

12. Operations and defects

We do our best to keep the solution stable and available, but cannot guarantee that it will always be free from errors or interruptions. Interruptions may be caused by planned maintenance, failures at our subcontractors (such as hosting, email and payment providers), or circumstances on the customer’s side. We correct errors attributable to us within a reasonable time. This is the customer’s sole remedy for defects unless the SLA provides otherwise.

13. Limitation of liability

  • We are liable under the general rules of Danish law, subject to the limitations in this section.
  • We are not liable for indirect losses, including business interruption, lost revenue, lost profit, lost orders, loss of goodwill, losses from delayed deliveries to the customer’s own customers and loss of data, including where the customer’s website, online store, order management or inventory system has been down or unavailable for a period.
  • Our total liability per calendar year is limited to the amount the customer paid for the service concerned in the 12 months before the damage occurred.
  • These limitations do not apply where we have acted intentionally or with gross negligence.
  • The customer should assess their own need for business interruption insurance.

14. Force majeure

Neither party is liable for failure to perform caused by circumstances beyond that party’s control, such as widespread failures at hosting or internet providers, cyberattacks, strikes, war, natural disasters, a pandemic or orders from public authorities. If the circumstances last more than 30 days, either party may terminate the agreement without notice.

15. Confidentiality

Both parties keep the other party’s business information confidential, including after the agreement ends. This does not apply to information already publicly known.

16. Personal data

When we process personal data on the customer’s behalf, we do so under our data processing agreement, which forms part of the agreement. How we process information about the customer and their contact persons is described in our privacy policy.

17. Changes to the terms

We may change these terms with at least 1 month’s notice by email. The customer may terminate the agreement so that it ends before the changes take effect. Changes solely in the customer’s favour may be made without notice.

18. Assignment

The customer may not assign the agreement without our written acceptance. We may assign the agreement to a company taking over our business or the part of it to which the agreement relates.

19. Governing law and disputes

The agreement is governed by Danish law. Disputes that the parties cannot resolve themselves are decided by the Danish courts at Veyro’s legal venue.
